POSITION : Head Legal & Company Secretary
LEGAL DEPARTMENT & COMPANY SECRETARIAT
LOCATION: Head Office KIJITONYAMA
ROLE & RESPONSIBILITIES
• Hold annual general meetings (AGMs), board committee meetings, and secretarial duties for the bank.
• Ensure that all stakeholders in the country are well prepared for the bank's Annual General Meetings (AGMs).
· Provide the Board with the essential secretarial support services
• The Bank's relationship with its major shareholders and shareholder associations should be coordinated.
• Keep records and statutory registers up to date. • Coordinate with the bank's registrars to resolve important shareholder complaints and requests.
• Provide prompt responses to the Regulatory authority's inquiries concerning Corporate Governance and Legal Issues.
• Make whether the company's corporate governance practices are up to level with what the Bank of Tanzania (BOT) requires.
• Review and sign under the common seal any necessary documents.
• Make sure the national seal is used appropriately and kept in safe custody.
• Provide counsel to senior management on matters pertaining to applicable national legislation.
• Monitor changes and global standards for corporate governance, and provide guidance to upper management as needed.
The person in charge of preparing the minutes and resolutions of the board as well as the bank's management committees and the annual general meeting
• Working with third parties, such vendors, to draft, negotiate, and review contracts
Creating and supervising the registration of security documents for authorized credit facilities
• Giving sound counsel on matters pertaining to the law that arise out of actual or prospective banking transactions or agreements
Managing the Bank's litigation portfolio through the use of external lawyers, performing timely and strategic reviews to ensure that the Bank's interests are adequately protected, and providing interpretation of local laws and regulations that affect the Bank's business and operations
• Liaising with the legal division in the Head Office (UBA PLC) to adapt the legal policies of the Bank while maintaining compliance to all local legal and statutory requirements with the region · Any other duties as may be assigned by the Supervisor.
KEY PERFORMANCE INDICATORS
• Timely generation of reports.
• Number of recurring audit exceptions and corporate risks issues.
• Percentage compliance to internal policies.
• Number of prosecuted cases won.
• Number of Regulatory sanctions by Regulatory bodies
JOB REQUIREMENTS
EDUCATION REQUIREMENTS
• Minimum of a Bachelor’s degree in Law. Must be a registered lawyer under the legal association of the country/Member of the Tanganyika Law Society.
EXPERIENCE
• Legal and Company Secretarial practice – 12 — 15 years’ work experience in Legal practice/ Company Secretary in a related financial services institution.
KEY COMPETENCY REQUIREMENTS
• Country legal policies, Policy interpretation and Implementation capability.
• Knowledge of Local/International law, conventions, customs and practices on Banking.
